Sohar Free Zone is a 45 km² free zone next to the Port of Sohar in North Al Batinah. It allows 100% foreign ownership, duty-free imports into the zone and long tax exemptions. It works best for manufacturers, metal processors, food companies and logistics operators that need a deep-sea port and road access to the UAE. Setting up involves zone approval, a premises agreement (land, warehouse or office), registration and licensing, and then visas.

## What and where is Sohar Free Zone?

The free zone sits in the Wilayat of Sohar, North Al Batinah Governorate, on the Batinah coast between Muscat and the UAE border. It was established by Royal Decree 123/2010 and covers about 45 km². Its main advantage is the [Port of Sohar](https://opaz.gov.om/en/zones/sohar-free-zone) right next to it. Sohar Airport and the Sohar Industrial City run by Madayn are also nearby, so a company can split activities between the free zone and the [Sohar Industrial City](https://omanregister.com/industrial-cities/sohar-industrial-city/) if that makes sense.

By 2022, about 63% of the free zone's land had been leased (OPAZ figures). Tenants include steel and metals plants, automotive and food businesses, chemicals and plastics producers, solar manufacturers and pharmaceutical companies.

## Who manages Sohar Free Zone?

Two bodies are involved:

- **OPAZ** (Public Authority for Special Economic Zones and Free Zones) regulates all of Oman's zones and sets the legal framework.
- **SOHAR Port and Freezone** runs the zone day to day. It allocates land, signs usufruct agreements and operates the one-stop shop that handles registration, licences and clearances.

## Who is Sohar Free Zone best for?

Sohar is a good fit if your business:

- imports raw materials or components by sea and processes, assembles or packs them;
- re-exports to the GCC, India, East Africa or further afield;
- needs heavy industrial land, bulk handling or large warehouses;
- serves UAE customers by road but wants Oman's lower land and operating costs.

It is usually not the right choice for a pure consulting, trading-on-paper or online services company with no physical operation. A [mainland company](https://omanregister.com/mainland-company-registration-oman/) is often simpler and cheaper for that.

## What incentives does Sohar Free Zone offer?

| Incentive | What it means in practice |
|---|---|
| Foreign ownership | Up to 100%, no local sponsor needed |
| Customs | 0% duty on goods imported into the zone and re-exported |
| Corporate tax | Legacy holiday of up to 25 years. New enterprises: 10 years from start of operations under Royal Decree 38/2025, extendable for qualifying activities |
| Personal income tax | None |
| Capital | No fixed statutory minimum |
| Omanisation | Reduced rate compared with the mainland (published figures around 15%) |
| Trade agreements | Access to Oman's FTAs with the US and Singapore |

### How did the 2025 zones law change the tax holiday?

Royal Decree 38/2025 (in force since April 2025) replaced the old Free Zones Law. Under it, qualifying enterprises in any zone get a **10-year income tax exemption** from the start of operations. It can be extended for two more periods for activities with high added value. Banks, insurers, telecoms, contracting and land or sea transport companies are excluded. OPAZ issued the Executive Regulations (Decision 81/2026) in September 2026. Companies that were already licensed keep their existing incentives until those periods expire. Older guides that quote "25 years" describe the legacy regime, so confirm what applies to your licence date.

## What licence and company types are available?

Most investors set up a free zone limited liability company, with one or more shareholders. Foreign companies can also register a branch. Licence categories follow the activity, for example industrial, logistics and warehousing, trading, or services. Holding or pure investment activities are generally not licensed on their own in the zones. If you need a holding structure, discuss it before you apply.

## How do you register a company in Sohar Free Zone?

1. **Initial enquiry and project profile.** Describe the activity, space needs, investment, staffing and utilities (power, water, gas).
2. **Application and initial approval.** Submit the application with shareholder documents. The zone reviews the activity and the land or facility request.
3. **Plot or facility allocation.** You receive an allocation notice for land, a warehouse or an office.
4. **Usufruct or lease agreement.** Sign the land usufruct or facility lease.
5. **Company registration and licence.** Register the enterprise and get the activity licence through the one-stop shop.
6. **Permits.** Get building, environmental and civil defence permits where relevant. These matter most for factories.
7. **Visas, labour and bank account.** Apply for investor and employee visas, register for tax, and open a corporate bank account.

For a detailed walkthrough, see our [Sohar Free Zone registration steps and documents guide](https://omanregister.com/steps-and-documents-for-company-registration-in-sohar-freezone-2026-guide/).

## What documents are typically required?

- Passport copies and photos of shareholders and the manager
- A business plan or project profile (activity, investment, employment, space)
- For corporate shareholders: certificate of incorporation, memorandum and articles, board resolution and power of attorney, legalised and translated into Arabic where required
- Proof of address and, often, a bank reference letter
- Technical details for industrial projects (process, emissions, utility loads)

## How much does it cost to set up in Sohar Free Zone?

The zone does not publish one standard price list, and land offers are made project by project. Budget for these cost components:

- registration and licence fees (zone commercial registration and activity licence);
- Oman Chamber of Commerce and Industry membership;
- land usufruct rent or warehouse/office lease, charged per m² per year;
- construction, fit-out and permit costs for industrial projects;
- utility connection deposits;
- visa, labour clearance and medical costs per employee;
- accounting, audit and tax compliance.

For a breakdown of typical cost items, read our [Sohar Free Zone cost guide](https://omanregister.com/cost-of-company-registration-in-sohar-freezone-2026-financial-guide/). Always ask for a written offer from the zone before you commit.

## How long does it take?

For a trading or logistics company taking a ready warehouse or office, registration and licensing can often be completed within a few weeks of a complete application. Industrial projects that need land, design approval and environmental permits take longer, often several months before operations start.

## What are the pros and limitations?

**Pros**
- Deep-sea port and industrial cluster right next to the zone
- Road access to the UAE and the Hafeet Rail link under development
- Full foreign ownership and customs-free imports

**Limitations**
- Sales into mainland Oman generally pay customs duty like imports
- Premises are required, so it is not a low-cost "licence only" option
- New entrants get the shorter 10-year tax exemption, not the old 25-year holiday
