To register a company in Sohar Freezone, you choose a licence category (industrial, light manufacturing and assembly, logistics or general trade), apply to SOHAR Freezone through its one-stop shop with passport copies, a business description and — for corporate shareholders — attested constitutional documents, then sign a lease for office, warehouse or land in the zone. After registration and licensing, you open a bank account and apply for visas. Small trading companies can usually finish in a few weeks; industrial projects take longer because of environmental and building permits.

This guide covers the procedure and paperwork only. For budgets see the [Sohar Freezone cost guide](https://omanregister.com/cost-of-company-registration-in-sohar-freezone-2026-financial-guide/); for legal rules see [Sohar regulations and legal framework](https://omanregister.com/regulations-and-legal-framework-for-operating-in-sohar-freezone-2026/).

## Licence types in Sohar Freezone

| Licence | Typical activities | Premises needed |
|---|---|---|
| General trade | Import, export, re-export and trading of listed goods | Office or desk; warehouse if holding stock |
| Logistics | Warehousing, freight forwarding, distribution | Warehouse or yard |
| Light manufacturing and assembly | Assembly, packaging, small-scale production | Warehouse or small plot |
| Industrial | Manufacturing and processing | Industrial plot or built facility |
| Service provider | Specified services to zone tenants | Office |

Licences are renewed annually. Under the zone's 2016 regulations, each licence lists the permitted activities, so plan your activity list carefully at the start.

## Choose your legal form

Most investors register a [limited liability company (LLC)](https://omanregister.com/company-types/limited-liability-company-llc/) or, with one owner, a [sole proprietor company (SPC)](https://omanregister.com/company-types/sole-proprietor-company-spc/). An existing overseas company can register a [foreign company branch](https://omanregister.com/company-types/foreign-company-branch/). All allow 100% foreign ownership in the free zone.

## Step-by-step registration process

### Step 1: Define activity, licence and space

Write a short description of what you will do, the goods involved, expected staff numbers and the space you need. This determines your licence category and whether environmental review is required.

### Step 2: Check the company name

Prepare two or three name options in English (and Arabic if available). Names must not copy existing trademarks or include restricted words.

### Step 3: Submit the application to SOHAR Freezone

Submit the application and documents through the zone's one-stop shop. General trade licences can be applied for electronically. The zone reviews the activity and the applicant's background and may ask for more information.

### Step 4: Sign a lease or usufruct agreement

After approval in principle, sign the lease for your office, warehouse or plot with the zone operator or an approved landlord. A valid lease is needed for licensing and later for your bank account.

### Step 5: Register the company and receive the licence

The company is registered and the activity licence issued. Under OPAZ's 2026 Executive Regulations, licences can be issued and renewed automatically once data and documents pass digital checks.

### Step 6: Environmental and building permits (industrial and logistics)

Projects are grouped by environmental impact. Published guidance from the zone indicates:

- **No environmental impact:** no form needed; approval in about 3 working days.
- **Limited impact:** environmental review form; up to about 30 days.
- **Significant impact:** full environmental impact assessment; up to about 90 days.

Building on a plot also needs design approval and building permits.

### Step 7: Chamber of commerce and tax registration

Register with the Oman Chamber of Commerce and Industry and the Oman Tax Authority. Tax registration is required even when the company benefits from a tax holiday.

### Step 8: Open a corporate bank account

Banks in Sohar and Muscat will review your licence, lease, constitutional documents and source of funds. The authorised signatory normally attends in person.

### Step 9: Apply for visas and work permits

Apply for the investor visa and staff work visas through the zone. Each visa holder completes a medical test and biometrics for the resident card. Remember that the Omanisation level (15% at the start) applies to your workforce. See the [work permit guide](https://omanregister.com/work-permit-oman/).

## Document checklist

### Individual shareholders and managers

- Clear colour copy of passport (valid for at least six months).
- Passport-size photo on a white background.
- Copy of current Omani visa or resident card, if any, and a no-objection letter from your employer if you are employed in Oman.
- Short CV or business profile.
- Bank reference letter or recent bank statements (often requested by the bank and sometimes by the zone).

### Corporate shareholders

- Certificate of incorporation or commercial registration of the parent company.
- Memorandum and articles of association.
- Board resolution approving the Sohar company, its capital and shareholding, and appointing the manager/signatory.
- Power of attorney for the person handling the registration in Oman.
- Recent financial statements (often requested for larger or industrial projects).

### Company and project documents

- Completed application form for the chosen licence.
- Business plan or project description (activities, investment, space, staff, timeline).
- Proposed company names.
- Draft memorandum/articles for the new company (usually prepared during the process).
- Signed lease or usufruct agreement.
- Environmental review form or impact assessment, if required.

## Attestation and translation

| Document issued in | What you need |
|---|---|
| A Hague Apostille Convention country | Apostille from the issuing country |
| A non-member country | Foreign ministry legalisation, Omani embassy legalisation, then Ministry of Foreign Affairs in Muscat |
| Any language other than English/Arabic | Certified translation |

Personal passport copies usually do not need attestation; corporate documents and powers of attorney do.

## Typical timeline

| Stage | Indicative time |
|---|---|
| Attesting foreign corporate documents | 1–4 weeks |
| Zone review and registration | Days to about 2 weeks |
| Lease signing | Depends on space availability |
| Environmental permit | About 3 days to 90 days, by category |
| Bank account | 1–4 weeks |
| Visas | 1–3 weeks |

## Common mistakes

1. **Choosing general trade when you need industrial** (or the reverse), which means relicensing later.
2. **Starting without attested parent-company documents.**
3. **Underestimating the environmental category**, delaying industrial projects by weeks.
4. **Ignoring the six-month rules.** The zone may withdraw a licence if construction or the licensed activity does not start within six months without justification.
5. **Not planning Omanisation**, which affects both visas and the tax holiday.

Oman Register can check your activity, prepare the application file and coordinate attestation, bank and visa steps. ## FAQ

**How long does it take to register a company in Sohar Freezone?**

A general trade or service company with documents ready can often be set up in about two to four weeks including bank and visa steps. Industrial projects take longer because of the lease and environmental permit, which can take up to about 90 days where a full environmental impact assessment is required.

**Can I register in Sohar Freezone remotely?**

The general trade licence can be registered electronically, and a representative with a power of attorney can handle most steps. Bank account opening and visa medicals normally require the signatory or visa holder to attend in person.

**Is a physical address required?**

Yes. Every licensed company needs premises in the free zone, ranging from a serviced office or desk to a warehouse or industrial plot, depending on the licence.

**What if my application is refused?**

Under the zone's published regulations, you can appeal within 60 days of being notified, or reapply after six months. Ask for the reasons in writing so you can fix the file.

**Does registering in Sohar Freezone give me residency?**

A licensed company can sponsor an investor residence visa for its owner or manager and work visas for staff. Longer 10-year residency is available separately through Oman's investor residency (Golden Visa) programme if you meet its criteria.

**Do I need a police clearance certificate?**

It is not a standard requirement for company registration, but banks and some visa categories may ask for one. Check with Oman Register before ordering one, as it must also be attested.
