Oman has 12 types of business registration, all filed through the Oman Business Platform. Foreign investors almost always choose between a Sole Proprietor Company (SPC) for one owner and a Limited Liability Company (LLC) for two to 50 partners; both offer limited liability and up to 100% foreign ownership. Larger projects use joint stock companies, while three forms are reserved for Omani citizens.

How Omani company law is organised

Company forms are set by the Commercial Companies Law (Royal Decree 18/2019). Registration follows the Commercial Register Law (Royal Decree 3/74). If a foreign investor is involved, the Foreign Capital Investment Law (Royal Decree 50/2019) adds an investment licence and closes certain activities to foreigners. Investors from GCC states and the United States (under the US–Oman Free Trade Agreement) are generally treated like Omanis.

Which company type should I choose?

Answer these questions in order:

1. Are you an Omani citizen starting very small?

2. Are you an existing foreign company?

3. Are you an individual investor or a group of partners?

  • One owner → SPC
  • Two to 50 partners → LLC
  • Active operator plus passive investor, and willing to accept unlimited liability for the operator → Limited Partnership

4. Is it a large, capital-heavy or regulated project?

  • Private investors, OMR 500,000+ capital, board governance → SAOC
  • Raising money from the public or listing on the Muscat Stock Exchange → SAOG

Liability at a glance

  • Limited liability: LLC, SPC, SAOC, SAOG — owners risk only their capital.
  • Unlimited liability: individual firm, joint partnership and the general partners of a limited partnership — personal assets are exposed.
  • Parent liability: branches and representative offices — the foreign company stands behind every obligation.

Things that apply to every foreign-owned company

  • Prohibited activities. Ministerial Decision 209/2020 lists activities closed to foreign investors; after the 2024 update it contains 123 activities, from many traditional handicrafts to grocery stores and used-car sales.
  • Investment licence. A project description is submitted and the licence is issued through the platform.
  • Omani employee. Foreign-owned companies must hire at least one Omani within a year of registration.
  • Residency is separate. A CR does not give residence; investor residence and work visas follow their own rules — see company registration and residency.

Can you change the company type later?

Yes. An SPC becomes an LLC when a second partner joins, an LLC or SAOC can convert into a joint stock company, and an individual firm can be replaced by a company. Conversions are filed on the Oman Business Platform, but licences, leases and visas tied to the old CR may need updating, so choose carefully at the start.

Mainland or free zone?

Every type above can be registered on the mainland. LLCs and SPCs can also be set up in a free zone, special economic zone or Madayn industrial city, which adds zone-specific incentives. Read mainland company registration or compare zones in our free zones guide. For the full picture, start at register a company in Oman. Oman Register can review your plan and recommend the form that fits your activity, partners and residency goals.

Frequently asked questions

What is the best company type in Oman for a foreigner?

For a single foreign owner the Sole Proprietor Company (SPC) is usually best; with two or more partners, the LLC. Both give limited liability and allow 100% foreign ownership for most activities.

Do I need an Omani partner to start a company in Oman?

No. Since January 2020, foreign investors can own 100% of companies on the mainland, except in activities on the list reserved for Omanis.

Which company types are only for Omanis?

The House Trade Business, the Freelance registration and the Street Vendor licence are reserved for Omani nationals.

Is there a minimum capital for companies in Oman?

LLCs and SPCs have no fixed legal minimum for most activities. Closed joint stock companies need OMR 500,000 and public joint stock companies OMR 2,000,000.

Can a foreign company open a branch in Oman?

Only to perform a contract with an Omani government or quasi-government entity, or a project of national economic interest. Otherwise it should form a subsidiary.
